Welcome to DRAFTSY, a mobile application provided by BREN, LLC (hereinafter, "DRAFTSY" or the "App").

By accessing or using DRAFTSY, you agree to accept the following terms and conditions and any other laws or regulations that may apply to the App. Please review our Privacy Policy, which also governs your visit to DRAFTSY.

These terms and conditions, including the Privacy Policy which is incorporated herein by reference, are subject to change at any time without prior notice. Any such change will be deemed effective when posted.

All content contained in the App, such as text, graphics, logos, icons, images, and software, is owned by or licensed to BREN, LLC and is protected by United States and international copyright laws. The arrangement, compilation or integration of all such content is also subject to copyrights held by or licensed to BREN, LLC.

BREN, LLC grants you a limited right to access and make personal use of the App. This does not include the right to resell or make commercial use of the App or its contents; to make any derivative use of the App or its contents; to download or copy information for the benefit of another entity; or any use of data mining, robots, or similar data gathering and extraction tools. The App, or any portion thereof, may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of BREN, LLC. Any unauthorized use of the App, or any content contained in the App, is strictly prohibited.

DRAFTSY is a trademark of BREN, LLC in the United States. All graphics, logos, buttons, images and other content in the App are subject to trademark, service mark, trade dress, copyright and/or other proprietary or intellectual property rights or licenses held by BREN, LLC. Other trademarks, trade names or logos used in the App are the property of their respective owners. Except as expressly authorized, the use or misuse of any trademarks, trade names, logos, images, graphics or content from the App is strictly prohibited.

When you visit DRAFTSY or send e-mails to BREN, LLC using the App, you are communicating with us electronically. By communicating with us, you consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on the App. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Visitors to DRAFTSY may post questions, comments, and other content, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." BREN, LLC has the right, in its sole and unfettered discretion,to disable and/or terminate a user's account, and/or block access to the App, with respect to any user that violates this policy.

BREN, LLC does not want to receive confidential, proprietary or trade secret information through the App (excluding information related to any transaction). Please note that any content sent to BREN LLC via DRAFTSY will be deemed non-confidential, and by submitting any such content, you are granting BREN, LLC and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable, sublicensable and unrestricted license to use, modify, reproduce, transmit, display and distribute such content throughout the world for any purpose whatsoever. In addition, you grant BREN, LLC and its affiliates and sublicensees the right to use the name that you submit in connection with such content, if they choose.

You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify BREN, LLC or its affiliates for all claims resulting from content you supply. BREN, LLC has the right but not the obligation to monitor and edit or remove any activity or content. BREN, LLC takes no responsibility and assumes no liability for any content posted by you or any third party.

Some of the services provided by BREN, LLC via DRAFTSY are available only to, and may only be used by, individuals and business entities who can form legally binding contracts under applicable law. By creating an account and using the services in the App, you agree that you are responsible for maintaining the confidentiality of your user id and password and for restricting third party access to your account, and you agree to accept responsibility for all activities that occur under your user id or password.

By making a transaction using DRAFTSY, you understand and agree that BREN, LLC may share information about you and your transaction with other companies for the purpose of processing your transaction, including credit card authorization and fraud prevention. BREN, LLC and its affiliates reserve the right to refuse service, terminate membership, remove or edit content, or cancel transactions in their sole discretion.

DRAFTSY may contain typographical errors or inaccuracies and may not be complete or current. BREN, LLC therefore reserves the right to correct any errors, inaccuracies or omissions (including after a transaction has been submitted) and to change or update information at any time without prior notice.

BREN, LLC and its affiliates respect the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide BREN, LLC's Copyright Agent the written information specified below.

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
• A description of the copyrighted work that you claim has been infringed upon;
• A description of where the material that you claim is infringing is located on the App;
• Your address, telephone number, and e-mail address;
• A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
• A statement by you, made under penalty of perjury, that the information provided in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

THIS APP IS PROVIDED BY BREN, LLC ON AN "AS IS" AND "AS AVAILABLE" BASIS. BREN, LLC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS APP OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS OR SERVICES INCLUDED ON THIS APP. YOU EXPRESSLY AGREE THAT YOUR USE OF THIS APP IS AT YOUR SOLE RISK.

TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, BREN, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. BREN, LLC DOES NOT WARRANT THAT THIS APP, ITS SERVERS, OR E-MAIL SENT FROM DRAFTSY ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. BREN, LLC AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUCCESSORS AND ASSIGNS WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THIS APP, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES.

If any part of these Terms and Conditions is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions.
